Terms of Service
The short version
- You must be 18 or older. Everything we provide is software and education, not financial advice.
- Futures trading can lose more than you put in. Results are never guaranteed, and simulated results are not real trading.
- The indicator is a tool. Every trade, and whether to automate, is your decision alone; we only help you set up the tools.
- Monthly subscriptions renew automatically every month until you cancel. You can cancel any time on Whop or by emailing us.
- All sales are final: we have a strict no-refund policy. There are no hidden fees. Read these Terms, the Risk Disclosure, the Refund & Cancellation Policy and our Discord rules before you buy.
- Disputes go to individual arbitration in New York, not class actions. You can opt out within 30 days (Section 18).
This summary is for convenience. The full terms below control.
1. Who we are and this agreement
These Terms of Service ("Terms") are an agreement between you and OJ Executive Management LLC, a New York limited liability company doing business as The Breakout Room ("The Breakout Room," "we," "us"). They cover the Discord community, The Breakout Room Indicator, the Runway members website at breakoutroomtrading.com, Autopilot and anything else we provide (together, the "Service").
You accept these Terms when you tick the box agreeing to them on our sign-in page, when you buy a plan, or when you use the Service. Our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Risk Disclosure, and the rules and disclaimers you accept when you join our Discord server, are part of these Terms. If you do not agree, do not use the Service.
2. Who may use the Service
You must be at least 18 years old and able to form a binding contract. You may not use the Service if trading futures, or buying a service like ours, is illegal where you live, or if you are on a U.S. sanctions list. Each membership is for one person.
3. What the Service is, and what it is not
The Service is trading software, data tools and education. Depending on your plan it can include:
- Premium (Tier 1): the Premium Discord community, educational trade ideas and commentary from our team, and the Runway prop desk (account tracking, firm rules, payouts and fees, fill imports and an opt-in leaderboard).
- Flight Deck (Tier 2; sold on Whop as "The Breakout Room Premium + K.O."): everything in Premium, plus invite-only access to The Breakout Room Indicator on TradingView, the indicator's alerts on the Runway website and in Discord, and tools built from the indicator's historical testing. The indicator's alerts can be connected to third-party automation tools if you choose, at your own discretion and set up by you.
- Autopilot (Tier 3; a one-time purchase on Whop for 10 years of access): everything in Flight Deck, plus tutorials and one-on-one setup assistance for connecting your own prop-firm accounts to the indicator's alerts through NinjaTrader and PickMyTrade, separate services you sign up for and pay for yourself, if you choose to automate.
We are not a broker, investment adviser, commodity trading advisor, fund manager or financial institution. We do not hold your money, we do not have access to your brokerage or prop-firm logins, and we do not make trading decisions for you based on your circumstances. Everything we publish, including indicator levels and alerts, trade ideas and comments in Discord, is general and impersonal: it is the same for every member and is not based on your account, your positions or your finances. Nothing in the Service is a recommendation that any trade is suitable for you.
The indicator is a tool. Every trade is your decision. The Breakout Room Indicator is a charting and analysis tool. It marks levels and conditions on your chart and can send alerts, but it does not tell you when to take a trade or when not to, and an alert is not an instruction to trade. We do not manage, place, approve, monitor or close trades for anyone. Whether to trade, what to trade, how much, and whether to act on any level or alert is decided by you alone, at your sole discretion.
Automation is your choice and your setup. Connecting the indicator or its alerts to an automated system, such as NinjaTrader or PickMyTrade, is entirely up to you. You open and pay for those services yourself, you choose which accounts to connect and what position sizes to use, and you can pause or disconnect automation at any time. Our help with automation is limited to tutorials and setup assistance showing how those third-party tools work. We do not have access to your accounts or logins, and orders placed by any system you connect are your orders, for which you are responsible.
4. Risk, results and simulated performance
Futures trading involves substantial risk of loss and is not suitable for everyone. You can lose more than you deposit. Past results, real or simulated, do not guarantee future results.
We do not promise that you will make money, pass a prop-firm evaluation, get funded or receive a payout. Alerts can be late, wrong or missing, the indicator can repaint or behave differently in live markets, and automated orders can fill at different prices than the chart shows or fail altogether. Odds, "hands-off returns" and other figures in the Service come from simulations of the strategy's historical trades. They are hypothetical, and the following statement required by CFTC Rule 4.41 applies to all of them:
These results are based on simulated or hypothetical performance results that have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. Also, because these trades have not actually been executed, these results may have under-or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to these being shown.
Read the full Risk Disclosure before you trade. Only trade with money you can afford to lose.
5. Prop firms and other third parties
We are not affiliated with, endorsed by or sponsored by any proprietary trading firm, TradingView, NinjaTrader, PickMyTrade, Whop or Discord. Their names belong to their owners and are used only to describe compatibility. Each of these services has its own terms, and you must follow them. In particular, many prop firms restrict or ban automated trading, copy trading, trade-signal services or trading the same strategy across accounts. Firm rules shown in the Service are summaries we checked on the date shown and can be out of date. You are responsible for checking and following your firm's current rules. We are not responsible for a firm's decision to fail, close or refuse to pay an account.
6. Your account and sign-in
You sign in to the Runway website with your Whop account. Keep your Whop, Discord and TradingView accounts secure and do not share them. You are responsible for what happens under your accounts. Tell us at support@breakoutroomtrading.com if you think someone else is using them.
7. Plans, prices and payment
Plans are sold through Whop, which processes payments as our payment provider. Whop's own terms also apply to your purchase. The plan, price, billing frequency and any free trial are shown on the Whop checkout page before you pay. The price shown at checkout is the price you are charged. Prices are in U.S. dollars and do not include taxes, which may be added where required. We never receive or store your full card number.
Prop-firm evaluation, activation, reset and data fees, platform fees (such as TradingView, NinjaTrader or a futures data feed) and any PickMyTrade subscription are separate. They are paid directly to those providers, not to us.
8. Automatic renewal, free trials and cancellation
Monthly subscriptions renew automatically at the end of each month, and the plan's then-current price is charged to your payment method on Whop, until you cancel. Where a plan includes a free trial (for example, the 3-day trial on monthly Premium), your first charge happens when the trial ends unless you cancel before then.
One-time purchases (Autopilot, 10 years of access) do not renew and are not charged again. We no longer sell yearly plans.
How to cancel: cancel any time in your Whop account (Orders or Memberships, then the plan, then Cancel), use the Manage billing on Whop button on the Runway website's Membership page, or email support@breakoutroomtrading.com with "Cancel" in the subject and we will cancel it for you. Cancelling stops future charges. You keep access until the end of the period you already paid for. Cancellation is never harder than signing up.
If we raise the price of a plan you are subscribed to, we will tell you at least 10 and no more than 30 days before the new price applies and ask you to agree to it. We will not charge the higher price unless you agree; if you do not, your subscription ends at the end of the month you already paid for.
9. Refunds and payment disputes
All sales are final. We have a strict no-refund policy, explained in the Refund & Cancellation Policy, so please read these Terms, the Risk Disclosure and our Discord rules and disclaimers before you buy. The price shown at checkout is the full price we charge: there are no hidden fees, setup fees or extra charges from us. Please contact us before filing a dispute with your bank. Most billing problems are fixed quickly by email. If a payment is disputed, we may pause access to the paid features covered by that payment while the dispute is open.
10. Autopilot: purchase, identity check, licence agreement and 10 years of access
You buy Autopilot on Whop. Everything in Flight Deck starts as soon as Whop confirms your payment. The Autopilot files and your setup session are delivered only after you verify your identity with our provider Stripe on the Runway website and sign our Autopilot Licence Agreement. You may also complete both steps before you buy.
If you cannot be verified, or you decline to sign the Autopilot Licence Agreement, or we decline to license Autopilot to you, within 30 days of your purchase, we refund the Autopilot payment in full and end your Autopilot access. This is the only refund that applies to Autopilot; once the files have been delivered, section 7 and our Refund Policy apply. If the Autopilot Licence Agreement and these Terms conflict about Autopilot, the Autopilot Licence Agreement controls.
Autopilot is a one-time purchase that gives 10 years of access, starting on the date of purchase. It does not renew, and access ends automatically when the 10 years are up. It is personal to you and cannot be transferred, shared or resold. It includes updates we release to Autopilot members generally, but not separately sold products or third-party costs. If we stop offering Autopilot or close the Service before your 10 years end, we will give at least 30 days' notice by email or in Discord.
11. Acceptable use
You agree not to:
- share, resell, sublicense or give anyone else access to your membership, the indicator, the automation, alerts or Discord content;
- post or forward our alerts, trade ideas, indicator output or members-only content outside the Service;
- copy, decompile, reverse engineer or try to recreate the indicator, the strategy, the automation or the website's code, or try to work out the strategy's rules from its alerts;
- scrape, crawl or automate access to the website or Discord, or try to get around plan limits, rate limits or security;
- harass, threaten, spam or impersonate anyone, or post anything illegal, hateful or that infringes someone else's rights;
- use the Service to break any law, any exchange or regulator's rules, or any prop firm's rules you have agreed to.
12. Our content and your licence
The Service, including the indicator, the strategy, the automation, the website, the software, texts, graphics and the names The Breakout Room, The Runway, Flight Deck and Autopilot, belongs to us or our licensors. While your membership is active we give you a personal, non-exclusive, non-transferable, revocable licence to use the parts of the Service your plan includes, for your own trading education and your own accounts. No other rights are granted. Fonts and open-source software in the website are used under their own licences.
13. What you post
You own what you post: your profile (display name, short bio, experience, platforms and firms), messages and anything you import. You give us a licence to store and show it inside the Service as needed to run it. For example, if you join the leaderboard, other members see your display name and the results calculated from your imported fills. You are responsible for what you post and for having the right to post it. We may remove content that breaks these Terms.
If you believe something in the Service infringes your copyright, email support@breakoutroomtrading.com with the work, where it appears, your contact details and a statement that you believe in good faith that the use is not authorised. We will review it and remove it where appropriate.
14. Changes to the Service and availability
We work to keep the Service running but cannot promise it will always be available, on time or error-free. Discord, Whop, TradingView, PickMyTrade, NinjaTrader, data feeds, exchanges and the internet can fail. We may change, add or remove features. If we remove a core feature of a plan you pay for monthly, we will tell you in advance so you can cancel before your next charge.
15. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
16. Limits on our liability
To the extent the law allows: (a) we are not liable for trading losses, missed or delayed trades, slippage, failed or duplicated orders, prop-firm account failures, closures or refused payouts, or for any indirect, incidental, special, consequential or punitive damages, or lost profits; and (b) our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event that caused the claim.
Some places do not allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited by law. If you are a New Jersey resident, the limits in Sections 15 and 16 apply only to the extent New Jersey law permits, and nothing here limits your rights under the New Jersey Consumer Fraud Act.
17. Indemnity
To the extent the law allows, you will cover our reasonable losses and costs (including reasonable legal fees) from claims by others that arise from your breach of these Terms, your misuse of the Service or your violation of someone else's rights.
18. Disputes: informal resolution, arbitration and class-action waiver
Please read this section carefully. It affects how disputes are resolved.
Talk to us first. Before starting a claim, email support@breakoutroomtrading.com describing the problem and what you want. We will try to resolve it within 30 days. You agree to do the same if we have a claim against you.
Arbitration. If we cannot resolve it, any dispute arising from these Terms or the Service will be decided by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by one arbitrator. The hearing will take place by video or in the county where you live, unless you and we agree otherwise. Fees are paid as the AAA Consumer Rules provide. The arbitrator may award the same individual relief a court could. The Federal Arbitration Act governs this section.
Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies. Either of us may ask a court to stop infringement or misuse of intellectual property.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action, and the arbitrator may not combine more than one person's claims. If this waiver is found unenforceable for a claim, that claim must go to court, not arbitration.
Many similar claims. If 25 or more similar demands are filed by or with the help of the same lawyers, they may be administered in batches under the AAA's mass arbitration procedures, and the time limits for those claims are paused while that happens.
Your right to opt out. You can opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing support@breakoutroomtrading.com with your name, your Whop username and a clear statement that you opt out of arbitration. Opting out does not affect anything else in these Terms.
Governing law and courts. These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except that the consumer-protection laws of the place you live still apply to you where they must. Any case that goes to court instead of arbitration will be heard in the state or federal courts located in New York County, New York, and both of us agree to their jurisdiction.
19. Suspension and termination
You can stop using the Service at any time. We may suspend or end your access, without a refund, if you break these Terms (for example by sharing access or leaking alerts), if a payment fails or is disputed, if you abuse members or our team, or if the law requires it. Sections that by their nature should survive (such as 4, 11, 12 and 15 to 18) survive termination.
20. Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date, and for important changes we will give at least 14 days' notice by email through Whop, in Discord or on the website before they apply. Changes do not apply to a dispute that arose before they took effect, and price changes follow Section 8. If you do not agree to the new Terms, stop using the Service and cancel before they take effect. Otherwise, continuing to use the Service means you accept them.
21. General
These Terms and the policies linked above are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms; we may transfer them to a successor of our business. Neither of us is responsible for delays caused by events beyond reasonable control. You agree to receive notices from us electronically.
